1.1. “Service” refers to the Horair.com SaaS platform, including all features, functionalities, and updates.
1.2. “Subscriber” refers to the business entity that has registered for and purchased access to the Service.
1.3. “User” refers to any individual who accesses the Service through Subscriber’s account.
1.4. “Subscription Period” refers to the duration for which the Subscriber has paid to access the Service.
1.5. “Data” refers to all information uploaded, entered, or generated through the use of the Service.
2.1. To access the Service, Subscriber must complete the registration process, providing accurate, current, and complete information.
2.2. Subscriber is responsible for maintaining the confidentiality of account credentials and for all activities occurring under its account.
2.3. Subscriber must notify Horair.com immediately of any unauthorized use of its account or any other security breach.
3.1. Access to the Service requires payment according to the subscription plan selected by Subscriber.
3.2. All fees are quoted in [Currency] and are exclusive of applicable taxes unless otherwise specified.
3.3. Subscription fees are billed in advance according to the billing cycle selected (monthly, quarterly, or annual).
3.4. Subscription automatically renews at the end of each Subscription Period unless canceled at least 14 days before the renewal date.
3.5. Price changes will be announced with at least 30 days’ notice before implementation.
4.1. Subscriber is granted a non-exclusive, non-transferable right to use the Service during the Subscription Period.

5.1. Subscriber retains all rights, title, and interest in and to all Data uploaded to the Service.
5.2. Horair.com will process Data in accordance with our Privacy Policy, which is incorporated by reference into these Terms.
5.3. Horair.com may collect anonymized usage data to improve the Service.
5.4. Upon termination, Subscriber may export Data within 30 days, after which it may be permanently deleted.
6.1. Horair.com will use commercially reasonable efforts to make the Service available 24/7, excluding planned maintenance.
6.2. Support services are provided according to the support package included in Subscriber’s subscription plan.
6.3. Service level agreements (SLAs) apply as specified in the subscription plan documentation.
7.1. Each party agrees to protect the other’s Confidential Information with the same standard of care it uses to protect its own Confidential Information.
7.2. Confidential Information shall not include information that: (a) is or becomes publicly known through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is rightfully obtained from a third party without restriction; or (d) is independently developed without use of the disclosing party’s Confidential Information.
8.1. Subscriber may terminate its subscription at any time through the account management interface.
8.2. Horair.com may terminate or suspend access to the Service immediately if Subscriber violates these Terms.
8.3. Upon termination, Subscriber’s right to use the Service immediately ceases.
9.1. Horair.com warrants that the Service will perform materially in accordance with the documentation.
9.2. THE SERVICE IS PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.1. IN NO EVENT SHALL EITHER PARTY’S AGGREGATE LIABILITY EXCEED THE AMOUNTS ACTUALLY PAID BY SUBSCRIBER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.
10.2. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA, OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SERVICE.
11.1. Subscriber shall indemnify and hold harmless Horair.com against any claims, actions, or demands, including reasonable legal fees, arising from or related to Subscriber’s use of the Service in violation of these Terms.
12.1. Horair.com reserves the right to modify these Terms at any time.
12.2. Continued use of the Service after any such changes shall constitute Subscriber’s consent to such changes.
12.3. Horair.com may modify, suspend, or discontinue any part of the Service with or without notice.
13.1. These Terms constitute the entire agreement between the parties and supersede all prior agreements.
13.2. These Terms shall be governed by and construed in accordance with the laws of France - Lyon.
13.3. Any dispute arising from these Terms shall be resolved exclusively in the courts of France - Lyon.
13.4. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
13.5. The failure of Horair.com to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
